6. Assessment Programs
6.1The Company may offer one or more Assessments to evaluate participant trading behavior, trading consistency, risk management behavior, simulated performance, decision-making, statistical usefulness, data quality, and commercial data value.
6.2An Assessment is intended to generate trading-related behavioral data within a simulated trading environment for evaluation, analytics, research, product development, model development, benchmark development, and potential commercial data licensing purposes.

If there is a conflict between these Terms and a Participant Agreement, the Participant Agreement will control only for the specific subject matter expressly covered by that Participant Agreement.
7. No Brokerage, Investment, or Financial Advisory Relationship
7.1The Platform is a data analytics and behavioral evaluation platform. It is not a brokerage platform, trading venue, exchange, investment adviser, financial adviser, asset manager, fund manager, payment institution, bank, custodian, trustee, fiduciary, or collective investment scheme.
7.2The Platform does not accept deposits for trading, hold customer brokerage balances, manage participant funds, pool participant funds, allocate capital to participants for live trading, or promise financial returns.
7.3Any simulated trading activity, simulated account balance, simulated profit, simulated loss, score, ranking, or Trading Analytics output is for evaluation and analytical purposes only. It does not represent real money, a cash account, a securities account, a virtual asset account, a deposit, a claim against the Company, a stored value balance, or an entitlement to payment.
7.4Trading Analytics, Intelligence Scores, Personal Trading Analytics Reports, benchmark comparisons, rankings, data scores, and other Platform outputs are informational and evaluative only. They are not investment advice, financial advice, tax advice, legal advice, trading recommendations, or guarantees of future trading performance.
7.5You are solely responsible for any trading or investment decisions you make outside the Platform. The Company is not responsible for any loss arising from your use of Platform information outside the Platform.
8. Assessment Fees and Payment
8.1Participation in an Assessment may require payment of an Assessment Fee.
8.2The Platform may accept payment methods designated by the Company, including USDT, fiat payment methods, card payments, bank transfers, payment processors, or other payment methods introduced or withdrawn by the Company from time to time. Where mPRM is made available in connection with an Assessment, its use may be subject to a separate participation or verification mechanism designated by the Company and the applicable issuer.
8.3Payment instructions, including deposit addresses, QR codes, payment windows, supported blockchain networks, token standards, confirmation requirements, memo requirements, payment amounts, transaction references, and other instructions will be displayed during the payment process or otherwise communicated by the Company.

The Company is not responsible for loss, delay, non-activation, failed payment, unrecoverable funds, wrong-chain transfers, wrong-address transfers, unsupported token transfers, missing memo transfers, underpayments, duplicate payments, payment processor errors, blockchain network congestion, gas fees, network fees, exchange fees, chargebacks, payment reversals, or payment restrictions except to the extent liability cannot be excluded under applicable law.
8.5An Assessment will not become active until the applicable payment or participation requirement has been successfully verified by the Company or its payment service provider.
8.6Upon successful payment verification, the Company may issue an electronic receipt or confirmation containing transaction details, including Assessment ID, payment amount, transaction reference, timestamp, wallet or payment reference, and other relevant information.
8.7Assessment Fees are consideration for access to the Company’s evaluation environment, analytics, system provisioning, simulated trading environment, reports, and related Platform services. Assessment Fees are not deposits, investments, brokerage balances, managed funds, custody assets, client assets, stored value, electronic money, financial products, or contributions to any investment program.
9. Payment Exceptions, Refunds, and Service Credits
9.1If payment is not received within the designated payment window, the payment request may expire automatically and a new payment request may be required.
9.2If the Company receives less than the required Assessment Fee, activation may be suspended until the outstanding amount has been received, the payment request is cancelled, or another resolution is approved by the Company.
9.3If the Company receives more than the applicable Assessment Fee, including a duplicate payment, the excess amount will generally be converted into Service Credit. In exceptional circumstances, and subject to Company approval, compliance review, technical feasibility, applicable law, and Company policy, the Company may approve a refund of all or part of the excess amount or another appropriate resolution.
9.4Service Credit may be applied only toward future Assessment Fees or other Platform services designated by the Company. Service Credit has no cash value, is non-transferable, may not be sold, assigned, withdrawn, redeemed for fiat currency, cryptocurrency, digital assets, or other monetary value, and does not constitute electronic money, stored value, a deposit, a financial product, or a payment account.
9.5Assessment Fees are generally non-refundable once an Assessment has commenced. An Assessment is deemed to have commenced upon the earliest occurrence of:
- activation of the Assessment;
- issuance of the participant’s Assessment account;
- issuance of the participant’s MT5 account or other simulated trading account;
- commencement of trading access;
- commencement of data collection;
- provisioning of the evaluation environment; or
- allocation of system resources for the Assessment.
9.6You acknowledge that the Company begins providing Assessment-related services upon commencement, including account provisioning, evaluation environment preparation, system resource allocation, analytics preparation, compliance processing, and related operational services.
9.7Where a refund is exceptionally approved by the Company, the refund will generally be made only to the same payment method, blockchain network, wallet, or account from which the original payment was received. The Company may approve a refund to a different wallet or payment method only after completion of any additional identity verification, Wallet Ownership Verification, compliance review, source-of-funds review, fraud review, or other procedure required by the Company.
9.8The Company may deduct blockchain network fees, bank charges, payment processor fees, exchange fees, chargeback fees, administrative costs, taxes, and other reasonable costs from any approved refund unless prohibited by applicable law.
9.9Nothing in this Section limits any non-excludable consumer rights available under applicable law.

10.4Rankings, comparison groups, benchmark pools, leaderboards, performance distributions, or similar evaluation environments may include standardized evaluation models, system-generated data, or other analytical reference data. Such reference models are analytical tools only and are not participants in any Assessment. They may be used or displayed for benchmarking or comparison purposes, but shall not be treated as participants or be eligible for rankings, rewards, invitations, Data License Fees, compensation, or participant-related rights.
10.5The Company may modify, replace, suspend, or discontinue any standardized evaluation model, benchmark, dataset, leaderboard, scoring methodology, or comparison group where reasonably necessary to improve evaluation quality, analytical reliability, security, legal compliance, or Platform integrity.

11.6Except as expressly provided under an executed Exclusive Commercial Data License Agreement:
- as between you and the Company, you retain any rights you may have in your Original Data;
- the Platform Data License is non-exclusive;
- the Platform Data License does not authorize the Company to represent your identifiable Original Data as exclusively licensed commercial data belonging to the Company; and
- the Company will not commercialize your Original Data as an identifiable standalone contributor-specific commercial dataset except under an executed Exclusive Commercial Data License Agreement.
11.7To the extent Original Data includes personal data, the processing of such personal data is also governed by the Company’s Privacy Policy and applicable privacy and data protection laws. Nothing in these Terms limits any privacy rights that cannot lawfully be waived.
12. Derived Data and Proprietary Analytics
12.1The Company may use Original Data, Licensed Data, Platform data, system data, benchmark data, synthetic data, historical data, analytical reference data, proprietary methodologies, algorithms, statistical models, artificial intelligence systems, and machine learning technologies to create Derived Data.

12.4All Derived Data and all related intellectual property rights are and will remain the exclusive property of the Company or its designated affiliates or assignees.
12.5The Company may use, reproduce, modify, improve, distribute, publish, license, sublicense, sell, commercialize, disclose, transfer, assign, and otherwise exploit Derived Data as part of its products, services, research, internal operations, commercial data products, and business activities.
12.6Nothing in these Terms transfers ownership of Original Data from you to the Company. Any additional rights granted to the Company under an executed Exclusive Commercial Data License Agreement shall be limited to the rights expressly set forth in that agreement.
13. Phase 1 Assessment
13.1Phase 1 is the initial Assessment stage through which participants generate Original Data within a simulated trading environment for evaluation, analytics, and behavioral assessment purposes.
13.2Original Data generated during Phase 1 may be evaluated using the Company’s proprietary criteria and may be used in accordance with the Platform Data License granted under these Terms.
13.3Participants who satisfy the applicable evaluation criteria may, in the Company’s discretion, be invited to participate in Phase 2.
13.4Completion of Phase 1 does not guarantee Phase 2 participation, commercial data licensing, execution of an Exclusive Commercial Data License Agreement, or payment of any Data License Fee.
13.5Participation in Phase 1 shall be governed by the applicable Phase 1 Assessment Agreement and any additional rules or program terms issued by the Company.
14. Phase 2 Data Evaluation
14.1Participants satisfying the Company’s proprietary evaluation criteria may, in the Company’s sole discretion, be invited to participate in Phase 2 or any other additional evaluation stage.
14.2Phase 2 is intended to further evaluate data quality, behavioral consistency, statistical usefulness, analytical value, research value, commercial suitability, compliance suitability, and the potential commercial value of Original Data.
14.3Participation in Phase 2 does not create an Exclusive Commercial Data License, guarantee commercialization of Original Data, guarantee execution of an Exclusive Commercial Data License Agreement, guarantee payment of any Data License Fee, or create any right to compensation.
14.4Participation in Phase 2 shall be governed by the applicable Phase 2 Evaluation Agreement and any additional rules, compliance requirements, data requirements, or program terms issued by the Company.
15. Commercial Data Licensing
15.1The Company may incorporate Derived Data into Commercial Data Products.
15.2Commercial Data Products may include commercial datasets, institutional datasets, premium datasets, benchmark datasets, artificial intelligence training datasets, machine learning datasets, business intelligence products, analytical products, subscription-based data services, API services, software products, reports, scores, models, and other commercial offerings developed by or for the Company.

15.4If the Company determines that certain Original Data has exceptional analytical, research, statistical, or commercial value, the Company may invite the participant to execute an Exclusive Commercial Data License Agreement. The Company has no obligation to make such invitation.
15.5Upon execution of an Exclusive Commercial Data License Agreement, the Company will receive the exclusive commercial rights expressly granted under that agreement with respect to the specified Original Data.
15.6Any Data License Fee payable under an executed Exclusive Commercial Data License Agreement represents contractual consideration for granting exclusive commercial data rights. It is not trading profit, investment return, revenue sharing, profit sharing, dividend, wage, salary, employment compensation, contractor compensation, commission, bonus, staking yield, interest, distribution, partnership interest, securities return, or participation in the Company’s business.
15.7Nothing in these Terms obligates the Company to offer an Exclusive Commercial Data License Agreement, commercialize any Original Data, approve any Data License Fee, continue any commercial data licensing program, maintain any Phase 2 program, or disclose proprietary evaluation formulas, algorithms, precise thresholds, model logic, anti-manipulation methodologies, or internal commercial decision-making.

16.3Payment of any Data License Fee shall be subject to the terms and conditions of the applicable executed Exclusive Commercial Data License Agreement, including completion of any applicable Wallet Ownership Verification, KYC and compliance requirements, tax or reporting requirements, and confirmation that no applicable fraud, rule violation, or other disqualifying condition exists.
16.4A Data License Fee represents contractual consideration for granting commercial data rights. It does not constitute trading profit, investment return, revenue sharing, dividend, wage, employment compensation, contractor compensation, prize, lottery winnings, gambling winnings, investment proceeds, securities return, or participation in the Company’s business.
16.5You are responsible for all taxes, duties, levies, reporting obligations, and filings arising from any Data License Fee or other amount received by you, unless applicable law requires the Company to withhold or report such amount. The Company may withhold, deduct, report, or delay payment where required or permitted by applicable law, tax rules, sanctions rules, payment processor requirements, or Company policy.

The Company does not issue or distribute mPRM.
17.3The method of payment does not affect the legal nature of the underlying payment, which represents contractual consideration for granting exclusive commercial data rights under an Exclusive Commercial Data License Agreement.
17.4Third-party services, including payment processors, blockchain networks, wallet providers, exchanges, identity verification providers, KYC vendors, trading environment providers, analytics vendors, cloud providers, and communications providers, may be subject to separate terms, policies, fees, delays, restrictions, or outages. 18.6You agree that any intra-group ownership, assignment, transfer, contribution, license, sublicense, or other use of Company intellectual property does not require additional notice, consent, approval, or payment, provided that your express contractual rights under these Terms and any applicable executed agreement are not materially reduced.
18.7Except as expressly permitted by the Company in writing, you must not copy, reproduce, distribute, publish, scrape, frame, mirror, modify, translate, reverse engineer, decompile, disassemble, create derivative works from, sell, resell, license, sublicense, commercially exploit, benchmark against competitors, train competing models with, or otherwise use any portion of the Platform or the Company’s intellectual property.

28.3The seat, or legal place, of arbitration shall be Hong Kong. The arbitration shall be conducted in English.
